CLEANTheory Website & EBI Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the CLEANTheory Inc. website located at cleantheoryinc.com (the “Website”) and the Environmental Burden Index tool (the “EBI”), both operated by CLEANTheory Inc. (“CLEANTheory,” “we,” “us,” or “our”), a Delaware corporation. By accessing the Website or using the EBI, you agree to be bound by these Terms. If you do not agree, do not use the Website or the EBI.

1. The Services

The Website provides information about CLEANTheory’s biosecurity programs, systems, and services for indoor agriculture facilities. The EBI is a free public tool that scores outdoor biological pressure at a facility’s location using environmental data including air quality, temperature, humidity, precipitation, wind, land use, and seasonal climate baselines. EBI scores are provided on a 0–100 scale and updated daily. Neither the Website nor the EBI requires account creation.

2. Use of the Website and EBI

You may use the Website and the EBI for lawful purposes only. You agree not to:

  • Use the Website or EBI for any unlawful purpose or in violation of any applicable law or regulation
  • Attempt to gain unauthorized access to any part of the Website or EBI systems
  • Use automated tools to scrape, harvest, or extract data from the Website or EBI at scale without prior written authorization from CLEANTheory
  • Reproduce, republish, or commercially redistribute EBI scores, outputs, or Website content without CLEANTheory’s prior written consent
  • Interfere with or disrupt the Website’s servers, networks, or security systems

3. EBI — Informational Purpose and Limitations

The EBI is provided for informational and decision-support purposes only. EBI scores are derived from publicly available environmental data and CLEANTheory’s proprietary scoring methodology. You acknowledge and agree that:

  • EBI scores are environmental indicators, not guarantees of biosecurity risk or facility outcomes
  • EBI scores are updated daily but may not reflect real-time conditions at all times
  • EBI data does not constitute professional biosecurity, agricultural, regulatory, or legal advice
  • Decisions made in reliance on EBI scores are made at your own risk and judgment
  • Individual facility conditions may vary significantly from EBI indicators

4. Contact Form and Inquiries

The Website provides a contact form through which visitors may submit inquiries to CLEANTheory. By submitting an inquiry, you represent that the information you provide is accurate and that you have the authority to submit it. CLEANTheory will use the information you submit solely to respond to your inquiry and, with your consent, to send you relevant information about CLEANTheory’s services. 5. EBI Notification Subscription

The EBI offers an optional email notification service (“Get Notified”) through which users may subscribe to receive periodic EBI score updates and alerts. By subscribing, you provide your name and email address and consent to receive these communications. You may unsubscribe at any time by:

  • Clicking the unsubscribe link in any email we send you
  • Sending an unsubscribe request to hello@cleantheoryinc.com

Unsubscribe requests will be processed within ten (10) business days. Operational messages related to your subscription (such as confirmation of your unsubscribe request) are not marketing communications and may still be sent following your unsubscribe request.

6. Intellectual Property

The Website and EBI, including all content, design, text, graphics, scores, methodologies, marks (including CLEANTheory®, FERTox™, PATHox™, AIRRox™, and Environmental Burden Index™), and related intellectual property, are owned by CLEANTheory Inc. and protected by applicable intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable license to access and use the Website and EBI for personal and internal business purposes. No other rights are granted.

7. Disclaimers

THE WEBSITE AND EBI ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT ANY WARRANTY OF ANY KIND. CLEANTHEORY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, OR RELIABILITY. CLEANTHEORY MAKES NO WARRANTY THAT THE WEBSITE OR EBI WILL OPERATE WITHOUT INTERRUPTION OR ERROR, OR THAT EBI SCORES WILL BE ACCURATE, TIMELY, OR SUITABLE FOR ANY PARTICULAR PURPOSE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CLEANTHEORY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES — INCLUDING DAMAGES FOR LOSS OF PROFITS, CROP YIELD, BUSINESS OPPORTUNITY, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES — ARISING FROM YOUR USE OF OR INABILITY TO USE THE WEBSITE OR EBI, REGARDLESS OF THE THEORY OF LIABILITY.

CLEANTHEORY’S TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS, THE WEBSITE, OR THE EBI SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100). YOU ACKNOWLEDGE THAT THIS LIMITATION IS A FUNDAMENTAL ELEMENT OF THE BARGAIN.

9. Third-Party Links

The Website may contain links to third-party websites or services. CLEANTheory does not control, endorse, or assume responsibility for any third-party content, products, or services. Your use of third-party sites is at your own risk and governed by those sites’ terms.

10. Modifications

CLEANTheory may modify these Terms at any time by posting the updated Terms on the Website. Material changes will be noted with a revised effective date. Your continued use of the Website or EBI after the effective date of any modification constitutes acceptance of the updated Terms.

11. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. Any dispute arising out of or related to these Terms shall be subject to the exclusive jurisdiction of the state or federal courts located in Delaware, and you consent to the jurisdiction of those courts.
